Terms of Service

These Terms of Service ("Terms") govern access to and use of the websites, platform, pilots, design partner programs, support, professional services, and related offerings provided by MightyBot Inc. ("MightyBot," "we," "us," or "our").
MightyBot provides a policy-driven AI agent platform for regulated business workflows. The platform is currently available by invitation, pilot, design partner agreement, order form, or other written agreement. If you access or use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
Order of Precedence
If you or your organization has a separate written agreement, order form, data processing agreement, statement of work, business associate agreement, or other signed contract with MightyBot, that written agreement controls to the extent it conflicts with these Terms. These Terms apply to website use, evaluation access, pilot access, and platform use not otherwise governed by a written agreement.
Definitions
- Authorized User means an individual permitted by a customer to access the Services.
- Customer means an organization that evaluates, purchases, configures, or uses the Services.
- Customer Data means data, documents, records, prompts, policies, workflow instructions, inputs, outputs, integration data, and other materials submitted to, connected to, generated by, or processed through the Services on behalf of a customer.
- Documentation means technical, security, user, and product documentation made available by MightyBot.
- Inputs means prompts, instructions, policies, files, records, data, workflow definitions, or other materials submitted to the Services.
- Outputs means responses, extractions, classifications, drafts, recommendations, analyses, workflow events, decisions, or other materials generated by the Services.
- Platform means MightyBot's AI agent platform, including policy engines, agent execution layers, data feeds, integrations, audit logs, dashboards, workflows, and related software.
- Services means the website, Platform, pilots, support, professional services, and related offerings provided by MightyBot.
- Website means mightybot.ai and related MightyBot websites.
Eligibility and Accounts
You must be at least 18 years old and use the Services only for business purposes. The Platform is not currently a public self-service product. Platform access must be invited or otherwise authorized by MightyBot or a Customer administrator.
You are responsible for keeping account credentials confidential and for all activity under your account. You must promptly notify MightyBot or your organization if you believe your account has been compromised. Customers are responsible for managing their Authorized Users, roles, permissions, workflow settings, and connected systems.
Website and Marketing Content
Website content is provided for general informational purposes. It does not create a professional services relationship and is not legal, financial, compliance, accounting, tax, security, or regulatory advice. Product descriptions, case studies, benchmarks, and examples are illustrative unless a written agreement states otherwise.
Platform Access and Use
You may access and use the Platform only as permitted by these Terms, Documentation, applicable written agreements, and any usage limits or restrictions communicated by MightyBot. You may not access the Services to build a competing product, test for security vulnerabilities without authorization, benchmark the Services for publication without written permission, or interfere with the Services.
MightyBot may update the Services from time to time, including by adding, changing, or removing features. For pilots, evaluations, beta features, or design partner programs, features may be incomplete, experimental, or subject to change.
Customer Data
As between MightyBot and the Customer, Customer owns Customer Data. Customer grants MightyBot a limited right to process Customer Data to provide, operate, secure, support, troubleshoot, and improve the Services, and as otherwise authorized by Customer or required by law.
Customer is responsible for having the rights, notices, consents, legal bases, authorizations, and permissions needed to submit Customer Data to the Services and to connect third-party systems. Customer is responsible for the accuracy, quality, legality, and appropriateness of Customer Data, policies, workflow configurations, and instructions.
Unless Customer separately authorizes it in writing, MightyBot does not use Customer Data to train generalized or shared foundation models. MightyBot does not permit one customer's Customer Data to be used to train another customer's workspace, agents, or workflows.
AI Inputs, Outputs, and Human Review
The Services use AI models and related systems to support workflow automation, policy evaluation, extraction, classification, summarization, drafting, decision support, and agent execution. AI systems can produce inaccurate, incomplete, unexpected, or non-deterministic Outputs.
Customer is responsible for reviewing Outputs, setting approval gates, supervising regulated workflows, validating decisions, maintaining required records, and determining whether Outputs are appropriate for the intended use. Outputs are not legal, financial, compliance, accounting, tax, medical, insurance, employment, or other professional advice.
Customer must not use the Services as the sole basis for high-impact, legally significant, or regulated decisions unless Customer has implemented appropriate human review, testing, oversight, notices, appeals, and compliance controls required by law and by Customer's own policies.
Acceptable Use
You may not use the Services to:
- Violate law, regulation, contractual obligations, privacy rights, intellectual property rights, or third-party rights.
- Submit data you do not have the right to process through the Services.
- Develop, deploy, or operate unlawful, deceptive, discriminatory, abusive, or harmful workflows.
- Make automated decisions that require human review, notice, consent, or appeal rights without implementing those safeguards.
- Upload malware, exploit code, harmful instructions, or content designed to disrupt or compromise systems.
- Attempt to reverse engineer, scrape, overload, scan, probe, bypass, or gain unauthorized access to the Services or related systems.
- Use the Services to create spam, phishing, impersonation, credential theft, surveillance, or other abusive activity.
- Submit regulated data such as protected health information, payment card data, government identifiers, or highly sensitive personal data unless your written agreement and platform configuration authorize that use.
Third-Party Integrations
Customers may configure the Services to connect with third-party systems. By enabling an integration, Customer authorizes MightyBot to access, process, transmit, and store data from that integration as needed to provide the Services. Customer is responsible for compliance with third-party terms, API limits, permissions, credentials, and security requirements.
MightyBot is not responsible for third-party systems, changes to third-party APIs, outages, permissions, or data quality issues outside MightyBot's control.
Security and Confidentiality
MightyBot uses administrative, technical, and organizational safeguards designed to protect the Services and Customer Data. We maintain SOC 2 controls for applicable production systems. Additional security commitments may be described in a written agreement, security exhibit, data processing agreement, or order form.
Each party may receive confidential information from the other. The receiving party must use the disclosing party's confidential information only to perform under these Terms or applicable agreements, protect it with reasonable care, and disclose it only to personnel, advisors, contractors, service providers, or subprocessors who need to know it and are bound by confidentiality obligations. Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party, already known without restriction, independently developed, or rightfully received from a third party.
Security Incident Notices
If MightyBot becomes aware of a security incident that affects Customer Data, we will notify affected Customers without undue delay and in accordance with applicable law and any applicable written agreement. Customer is responsible for maintaining accurate security and administrative contacts.
Subprocessors and Model Providers
MightyBot may use subprocessors and third-party model providers to provide the Services, including for hosting, security, analytics, communications, observability, model access, and customer-directed integrations. Our current subprocessor information is available at Subprocessors.
Fees and Payment
Fees, invoicing, payment terms, renewals, usage limits, and taxes are governed by the applicable order form, statement of work, or written agreement. The public Website does not create any self-service subscription or automatic renewal unless MightyBot separately offers and you accept a self-service plan or order form with those terms.
Intellectual Property
MightyBot and its licensors own the Services, Website, software, models as configured by MightyBot, platform architecture, documentation, templates, workflows provided by MightyBot, designs, trademarks, and related intellectual property. Except for rights expressly granted, MightyBot reserves all rights in the Services.
Customers retain ownership of Customer Data. Subject to Customer's ownership rights, MightyBot may use aggregated, de-identified, or statistical information derived from use of the Services to operate, measure, secure, and improve the Services, provided it does not identify a Customer, user, or individual.
Feedback
If you provide suggestions, ideas, comments, or other feedback, MightyBot may use it without restriction or obligation to you, provided we do not disclose your confidential information in doing so.
Suspension and Termination
MightyBot may suspend or restrict access to the Services if we reasonably believe there is a security risk, misuse, violation of these Terms, violation of law, non-payment under an applicable agreement, or risk to the Services, MightyBot, a Customer, or a third party. We will use reasonable efforts to provide notice and work with the affected Customer where practical.
You may stop using the Website at any time. Platform termination, data return, and deletion are governed by the applicable written agreement or, if none exists, by MightyBot's standard offboarding process.
Third-Party Services and Links
The Services may include links to third-party websites or depend on third-party services. MightyBot is not responsible for third-party websites, services, content, policies, or practices.
Disclaimers
Except as expressly stated in a written agreement, the Services are provided "as is" and "as available." To the maximum extent permitted by law, MightyBot disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation.
MightyBot does not warrant that AI Outputs will be accurate, complete, reliable, legally sufficient, compliant, or appropriate for any particular use case. Customer is responsible for testing, review, validation, and use of the Services in Customer's environment.
Limitation of Liability
To the maximum extent permitted by law, MightyBot will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost profit damages, or for loss of goodwill, data, business, or revenue, even if advised of the possibility of those damages.
Except for amounts that cannot be limited under applicable law or under a controlling written agreement, MightyBot's total liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amounts paid to MightyBot for the Services giving rise to the claim in the three months before the event giving rise to liability, or (b) $100.
Indemnity
You and any organization you represent will defend, indemnify, and hold harmless MightyBot from claims, damages, liabilities, costs, and expenses arising from your Customer Data, your use of the Services, your integrations, your violation of these Terms, or your violation of law or third-party rights, except to the extent caused by MightyBot's gross negligence or willful misconduct.
Governing Law and Disputes
These Terms are governed by the laws of the State of California, excluding conflict of law rules. Before filing a formal claim, each party agrees to try to resolve disputes informally by contacting the other party. Unless a written agreement says otherwise, courts located in Santa Clara County, California will have exclusive jurisdiction for disputes arising out of these Terms.
Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above indicates when these Terms were last revised. Material changes will be communicated as required by law or applicable agreement. Continued use of the Services after updated Terms become effective means you accept the updated Terms.
